Short version of the general terms and conditions of sale

(hereafter named 'C') of Nutrisan (hereafter name 'N')

ARTICLE 1: General information

1.1 C govern the offering, sale and delivery of all Products from or on behalf of N and apply to all similar dealings between N and the Buyer.  The complete version of C of N can be found at www.nutrisan.com. The Buyer acknowledges to be familiar with and to accept the complete version of C.

1.2 C will apply immediately, they annul all previous Conditions. They are subject to change at any time with immediate effect and without notice. The current version of these Conditions can be found at www.nutrisan.com

1.3 The meaning of the term 'Products' (hereafter named 'P') in C is: the finished product ready for sale of which a restrictive detail is presented in Appendix (1) to the present Agreement.

1.4 These Conditions may only be varied or waived by a duly executed written explicit agreement between N and the Buyer.

1.5 Only the English version of these terms and conditions shall be authentic and shall prevail, in case of inconsistency. If The Buyer does not understand the English language, he will request N for explanation of these Conditions or request a translation on its own costs..

  

ARTICLE 2: Delivery and acceptance

N remains owner of all Products delivered until full payment of the invoices. The Buyer recognizes that he, before or on the day of delivery, has explicitly subscribed to this retention of title stipulation.

Unless otherwise agreed, P will be delivered at the address of the Buyer.

In any case, all risks with regard to P are at the expense of the Buyer from the time the Buyer accepts and receives the P.

The Buyer is obligated to check the conformity of P upon their delivery and to directly inform the carrier and N of any damage of shortage whatsoever that occurred when P were on their way.

 

ARTICLE 3: Complaints and returns

The quality and weight of P are guaranteed ex our warehouses.

Any complaint concerning our supplies not formulated in writing within 7 days following the receipt of P shall be null and void. Furthermore, the Buyer must take all necessary steps in order to make a counter-checking (second opinion) possible. N accepts no responsibility whatsoever in relation to any occurrences and damages that could result from the usage or industrial bringing into use of our products as well as from the failure by The Buyers of our products to observe any relevant standards and/or local rules and regulations. Whatever the cause of the complaint, The guarantee by N is limited to a free of charge replacement or the repayment of the price of P recognized to be faulty or short of the relevant standard, excluding any damage.

Returned shipments will only be accepted if the return of the shipment was agreed in writing by N prior to sending. A complaint will not suspend the Buyer's payment obligations.

 

ARTICLE 4: Payment

Except for other explicit stipulations, the invoice has to be paid within fourteen (14) days following the date of the delivery. Each sum not paid at due date, shall automatically without formal notice bear an interest of 1% per month and will be increased by N with 12%, with a minimum of 50 EURO per invoice, and with the exchange losses in case the invoice is expressed in a currency other than the Euro, without prejudice to the right of N to prove the actual damage suffered.
